1. What do we do?

Our business is a therapeutic treatment Platform that helps people who have difficulty sleeping through a sleep monitoring program and habits that may be helping or hindering sleep quality, based on Cognitive Behavioral Therapy for insomnia (CBT-I), providing a set of online resources through daily interactions with Sônia, our digital coach, where users learn the main techniques and behavioral changes to sleep better. Vigilantes do Sono does not work with medication recommendations, teas, essential oils, sedatives, nor is it linked to any professional council.

2. Is the use of our Platform paid?

The use of the Vigilantes do Sono Portal for telemonitoring Client Users within the sleep improvement program is free. All system usage costs are tied to the provision and/or use of the sleep improvement program. Users may have access, free of charge, to some platform features, such as quizzes and scientifically proven sleep information and tips. However, to access the full program, Users must pay fees to use Vigilantes do Sono services, or have the program funded by third parties.

3. Can these conditions be changed?

Our Terms of Use may change, but you can always access the most updated version on our Platform. Additionally, if we need to take any action that requires your authorization by law, you will receive a notice beforehand so you can accept or decline.

4. What happens with personal data?

We have a Privacy Policy that addresses what we do with your personal data. It is very important that you also read and understand this document!

This Platform, named Vigilantes do Sono, is owned, maintained and operated by VIGILANTES DO SONO - QUALIDADE DE VIDA E TECNOLOGIA LTDA, a private legal entity registered under CNPJ/ME No. 36.658.510/0001-06, headquartered at Av. Dr. Arnaldo, 2194 - Sumaré, São Paulo - SP, Brazil. ZIP: 01255-000.

This document aims to provide information about how Users use the Platform and its tools, conditions, nomenclatures, rights and duties, as well as preserve User privacy. We warn that the entire text should be read carefully and, if you do not agree with the content of our terms and/or privacy policy, do not proceed with navigation or use of our services. We also recommend that, if accepted, you store or print a copy of this contract, including all policies.

1. Text availability date

1.1. This version of this document was made available on: 08/12/2025.

2. Explanation of technical terms or foreign language terms

2.1. Below are the meanings of technical nomenclatures and terms in English.

  • Login: It is the process that allows access to a computer system, controlled through identification and authentication of the User by the credentials provided by that same user.

  • Online: Term whose literal meaning is "on line". It is commonly used to designate that a particular Internet user or other computer network is connected to the network.

  • Virus: Malicious software that infects systems and computers, with the aim of causing some damage, makes copies of itself and tries to spread to other computers, using various means.

    2.2. The types of Platform Users are:

  • Client User: One who seeks the Platform in order to improve sleep quality through a sleep and habit monitoring program.

  • Healthcare Professional User: One who recommends the Vigilantes do Sono Platform to care for the Client User, as well as performs telemonitoring of therapeutic treatment through the Platform.

  • These Users, together, will be called simply Users.

3. Services

3.1. What we are: Vigilantes do Sono consists of, but is not limited to, a therapeutic treatment Platform that helps people who have difficulty sleeping through a sleep monitoring program and habits that may be helping or hindering sleep quality, based on Cognitive Behavioral Therapy for insomnia (CBT-I), providing a set of online resources through daily interactions with Sônia, our digital coach, where users learn the main techniques and behavioral changes to sleep better.

3.1.1. Vigilantes do Sono does not work with medication recommendations, teas, essential oils, sedatives, nor is it linked to any professional council.

3.1.2. Vigilantes do Sono cannot provide its services to Client Users in emergency or urgent situations. In these cases, we recommend seeking specialized professional help.

3.2. By using Vigilantes do Sono, the User must understand and accept that all their actions and choices are free and have no type of influence or interference from Vigilantes do Sono.

3.3. It is clarified that this service does not establish between the parties any employment, corporate or associative relationship, with each party remaining solely responsible for all their respective expenses and charges, whether of a labor, social security, tax, insurance, civil, criminal or any other nature or type.

3.4. Vigilantes do Sono and the Healthcare Professional User have entered into a Service Agreement, and its violation is considered a breach of these terms of use.

3.5. The Healthcare Professional User is solely responsible before their professional council, and Vigilantes do Sono is not liable for any action or omission before the professional council.

4. User registration

4.1. For registration and use of Vigilantes do Sono services, the following information will be required from the Healthcare Professional User: name, gender, profession, professional identification (CRM, CRO, CRFa, CREF, CREFITO, CRP), email, phone and bank details.

4.2. Each User will determine their login and access password, being exclusively responsible for maintaining the confidentiality of this information. VIGILANTES DO SONO is not responsible for actions and damages that may be caused by irregular access to the access account by third parties.

4.3. Registration on the Platform is only allowed for persons over 18 (eighteen) years of age and Vigilantes do Sono will make reasonable efforts to confirm this information, but is not responsible if the registered person does not have the minimum age described herein.

4.4. Users are responsible for providing true, accurate and up-to-date information.

4.5. Vigilantes do Sono may refuse, suspend or cancel without prior notice a User's access account whenever it suspects that the information provided is false, incomplete, outdated or inaccurate, or in the cases indicated in applicable laws and regulations, these Terms of Use or any Policy.

5. Payment for platform use

5.1. The use of the Vigilantes do Sono Portal for telemonitoring Client Users within the sleep improvement program is free. All system usage costs are tied to the provision and use of the sleep improvement program. Users may have access, free of charge, to some platform features, such as quizzes and scientifically proven sleep information and tips. However, to access the full program, Users must pay fees to use Vigilantes do Sono services, or have the program funded by third parties.

5.2. Cancellation of Vigilantes do Sono Services

5.2.1. To cancel services, the User must send an email to contato@vigilantesdosono.com or appear at Av. Dr. Arnaldo, 2194 - Sumaré, São Paulo - SP, Brazil. ZIP: 01255-000.

5.2.2. To learn what we do with personal data processed during the Platform usage journey, access our Privacy Policy.

6. Responsibilities of the parties

6.1. Responsibility of Vigilantes do Sono:

6.1.1. Perform services as described in these terms of use;

6.1.2. Be responsible for the operation of the Platform and for corrections that may eventually be necessary;

6.1.3. Inform Users of significant impact changes to services through simple communications on the Platform.

6.2. Responsibility of Healthcare Professional Users:

6.2.1. Use the Platform according to the usage criteria defined by Vigilantes do Sono, without altering its programming, breaking passwords or performing procedures that may cause damage to Vigilantes do Sono, other Users or third parties;

6.2.2. Be responsible for all purposes, including legal, for the content of the information entered and the commitments assumed on the Platform;

6.2.3. Not adopt inappropriate conduct, or practice actions or omissions contrary to these Terms of Use or Privacy Policies;

6.2.4. Be responsible for recommending products and/or services that are not within the sleep and habit monitoring program, as well as not linked to Vigilantes do Sono;

6.2.5. Be responsible for paying taxes on all amounts received from patients via the platform.

6.2.6. Fully respect these Terms of Use, Privacy Policies, current legislation and any contracts between the parties;

6.2.7. Be up to date with obligations to their professional council.

7. Disclaimer of Vigilantes do Sono

7.1. Vigilantes do Sono is not responsible for:

7.1.1. Any unavailability of the Platform that it did not cause.

7.1.2. User conduct and non-compliance with their obligations.

7.1.3. Insertion of false information by Users.

7.1.4. Damages that the User may experience from exclusive actions of third parties, as well as network connection failures and malicious interactions such as viruses.

7.1.5. Damages that the User may have as a result of misuse of the Platform in non-compliance with these Terms, the Privacy Policy, the law or court orders.

7.1.6. Force majeure events.

7.2. We are also not responsible for conduct carried out by Healthcare Professional Users within the platform. Any damage caused to third parties and other Users will be the responsibility of the Professional User who performed the conduct. Vigilantes do Sono reserves the right of recourse.

8. Rules of conduct and prohibitions

8.1. Users may not:

8.1.1. Harm the rights of Vigilantes do Sono, Platform operators, other Users, third parties or act in any way or form that may contribute to such violation;

8.1.2. Execute acts that limit or prevent the use of the Platform or illegally access Vigilantes do Sono;

8.1.3. Use the tool to practice illegal actions, such as fraud, embezzlement, misappropriation, illicit enrichment, theft and robbery;

8.1.4. Spread messages unrelated to the Platform or its purposes, including messages with inappropriate content or that offend Users, VIGILANTES DO SONO or third parties;

8.1.5. Hold VIGILANTES DO SONO responsible for recommending products and/or services that are not within the sleep and habit monitoring program, as well as not linked to Vigilantes do Sono;

8.1.6. Hold Vigilantes do Sono responsible for conduct of Users registered on the Platform;

8.1.7. Participate in any activity related to Vigilantes do Sono that is illegal, harmful, offensive, obscene, violent, threatening, coercive, abusive or in any way questionable by Vigilantes do Sono;

8.1.8. Reproduce, duplicate, copy or resell any part of the System in violation of the provisions of this term of use;

8.1.9. Resell access to the system;

8.1.10. Frame the system or any part of it;

8.1.11. Copy any material obtained from the System to peer-to-peer networks or other websites or web services;

8.1.12. Access without authority, interfere with, damage or interrupt any part of the system, any equipment or network on which the system is stored, any software used in providing the system or any equipment or network or software owned or used by third parties.

8.2. At any sign of breach of conduct, the User may be blocked or excluded from the Platform without prior notice.

9. Intellectual property

9.1. The ownership and rights related to the Platform belong exclusively to Vigilantes do Sono. Access to the Platform and its regular use by the User do not confer any right or prerogative over intellectual property or other content inserted therein.

9.2. All Platform content, including name, brand, domain, programs, databases, files, texts, drawings, photos, layouts, headers and other elements, was created, developed and assigned to Vigilantes do Sono, being therefore the exclusive property of Vigilantes do Sono or licensed to it and is protected by Brazilian laws and international treaties dealing with intellectual property rights.

9.3. The following are prohibited: exploitation, assignment, imitation, copying, plagiarism, application of reverse engineering, hacking attempts, storage, alteration, modification of characteristics, expansion, sale, rental, donation, alienation, transfer, reproduction, in whole or in part, of any content of the Vigilantes do Sono Platform.

9.4. Any person who violates the prohibitions contained in intellectual property legislation and these Terms will be held liable, civilly and criminally, for the infractions committed, in addition to being penalized on the Platform.

10. Secrecy and confidentiality

10.1. The User agrees to maintain absolute secrecy of all confidential information, whether commercial, technical, personal or other, of which they become aware as a result of their activities on the platform, and may be held civilly or criminally liable for any material or moral damages resulting from non-compliance with this rule.

10.2. By definition, "Confidential Information" means all technical and general information, know-how, documents, computer programs and documentation, source code, Growth strategies, business model, reports, financial data, personal data, records, forms, tools, products, services, present and future research, technical knowledge, marketing plans, trade secrets and other tangible or intangible materials, stored or not, compiled or reduced to writing, whether physically, electronically or graphically, in writing, or by any means, that is in the possession of Vigilantes do Sono or relating to its Users, that is disclosed to the User.

10.3. Confidential Information includes, without limitation, materials, files and information, as well as information owned by Vigilantes do Sono or third parties that: a) contains the specification of exclusive or confidential property; b) whose confidential nature has been informed to the User; c) consist of the solution, innovations and improvements that are of individual creation and development of Vigilantes do Sono or jointly between the Parties; d) due to their characteristics and nature would be considered confidential in similar circumstances; and e) data of a sensitive nature.

10.4. The User agrees that the obligations of Confidentiality and Secrecy begin from acceptance of the terms of use and registration on the Platform, lasting for its duration and for 03 (three) years after the last period of use and access on the Platform by the User. Thus, in the event of violation, Vigilantes do Sono will be immediately considered the legitimate holder of the right to take all extrajudicial and judicial measures, in civil and criminal spheres, including precautionary measures or anticipation of judicial protection, that it deems appropriate to defend its rights, including copyright, regardless of taking judicial measures aimed at obtaining compensation for the damage caused, which includes, where applicable, indemnification for lost profits.

10.4.1. Also in the event of violation, the User must deposit the indemnification amount up to the amount of damages actually caused to Vigilantes do Sono in favor of the same in an account to be provided, within a maximum period of 10 (ten) days after receipt of notification containing the breach of the Confidentiality and Secrecy obligations, under penalty of interest of 1% (one percent) per month and monetary correction by the IPCA or other equivalent base index that may replace it, without prejudice to filing a specific lawsuit and relevant extrajudicial measure to recover any damages caused.

11. Personal data processing, privacy and security

11.1. Vigilantes do Sono has a specific policy to regulate the collection, storage and processing of personal data, as well as its security: Privacy Policies. These specific policies are an inseparable part of these Terms, noting that Platform usage data will be archived in accordance with current legislation.

12. Consequences of platform access

12.1. Despite the best efforts of Vigilantes do Sono to provide the best technologies to maintain online connection and synchronization and secure access for Users, due to technical difficulties, internet applications or transmission problems, inexact or incomplete copies of information contained on the Platform may occur.

12.2. Vigilantes do Sono reserves the right to unilaterally modify the Platform, as well as the configuration, presentation, design, content, functionalities, tools or any other element, including its cancellation.

13. Changes to terms and conditions of use

13.1. Vigilantes do Sono may unilaterally add and/or modify any clause contained in these Terms of Use. The updated version will be valid for the use of the Platform carried out from its publication. Continued access or use of the Platform after disclosure will confirm the validity of the new Terms of Use by Users.

13.2. If the change made requires User consent, the option to accept freely, unequivocally and informedly the new text or refuse it will be presented.

13.3. If the User does not agree with the change, they may not provide consent for specific acts or may terminate their relationship with Vigilantes do Sono entirely. This termination will not, however, exempt the User from complying with all obligations assumed under previous versions of the Terms of Use.

14. Applicable law and forum selection

14.1. The Platform is controlled, operated and administered in the city of São Paulo/SP, and can be accessed by any device connected to the Internet, regardless of its geographic location.

14.1.1. Vigilantes do Sono does not guarantee that the Platform is appropriate or available for use in other locations. People who access and use Vigilantes do Sono from other jurisdictions do so at their own risk and are responsible for compliance with regional/national laws.

14.2. The User agrees that the applicable legislation for purposes of these Terms and Conditions of Use and Privacy Policies will be that in force in the Federative Republic of Brazil.

14.3. Vigilantes do Sono and the User agree that the Forum of São Paulo/SP, Brazil, will be the only competent forum to resolve any issue or controversy arising from or resulting from the use of the Platform, expressly waiving any other, however privileged it may be or become.
